This agreement ("Agreement") governs the use of Apcomp Infotech LLP website ("Website") and the services provided by Apcomp Infotech LLP ("Company"). By using this Website and engaging our services, you agree to abide by these terms and conditions.

3. Client Responsibilities
- Information and Materials: Clients are responsible for providing necessary content, materials, and information required for projects in a timely manner.
- Approvals: Clients agree to review and approve project milestones or components promptly to ensure project progress.
4. Payments and Invoicing
- Fees: Clients agree to pay fees as outlined in project proposals or invoices according to the agreed-upon schedule.
- Late Payments: Late payments may incur additional charges or suspension of project work until payments are made.
5. Intellectual Property
- Apcomp Infotech LLP will provide a Finished Product(s) to the Client in the form of source, rendered and asset files. These files become the exclusive property of the Client upon acceptance of delivery, however these files are partially based on a non-exclusive code base created and maintained by Apcomp Infotech LLP and in some cases existing code was used to help create the deliverables. Such code and other underlying technologies do NOT become the property of the Client, only the Finished Product(s). In addition, the Finished Product(s) may depend on code, objects (COMs), and other third party utilities that are the property of their respective owners. No rights to these dependencies is expressed or implied. Additional licensing may be required with third party assets.
- Although Apcomp Infotech LLP makes every effort to provide secure Finished Product(s), due to the nature of rapidly advancing technology, Apcomp Infotech LLP can in no way guarantee that the Finished Product(s) will not be subject to security breaches. Apcomp Infotech LLP recommends the use of strong passwords and the observance of standard security practices. In order to minimize the chances of security violations, systems should be updated often. The Client is solely responsible for tracking software updates. Any updates during the life of or after the expiration of the Contract can be negotiated as an addendum to this Contract or as an additional Contract. Once again, Apcomp Infotech LLP is available to help with security monitoring if desired by The Client.
- Usage Rights: The Company retains the right to display completed projects in portfolios or marketing materials unless otherwise agreed upon.
6. Hosting and Emails
- Hosting: Hosting is an annual charge which must be paid in advance for the whole year. It is the client’s responsibility to renew the hosting in time ie. before the expiry date. Failure to renew in time can lead to loss of files, data, emails, backups etc. All unpaid hostings are disabled or deleted from the server. All renewals must be paid by seven working days prior to the expiry date. Apcomp Infotech LLP will not be responsible for issues relating to delayed payment. Hosting are on shared and non-shared servers hosted via third party providers. Apcomp Infotech LLP ensures best to our ability that our systems and servers are protected from hackers, viruses, intruders and other online and offline problems, however we will not be held liable for any disruption of services if such situation arises. Client is solely responsible for the content stored on and served by the hosting service purchased and the activity of any scripts or email services created under the hosting service. The Customer must maintain the security of all account passwords and applications or scripts and ensure all scripts under the hosting service are free from malicious content that may harm any part of the Server, other client accounts hosted, or the external systems of visitors viewing the hosted content. Incase of a malware attack, Apcomp Infotech LLP reserves the right to delete files on the hosting service without giving any prior notice.
- Emails: All emails are to be downloaded on the client’s computer periodically. Email boxes must be kept within their quota limits. Periodical maintenance may be carried out on the email box and emails older than 6 months are deleted. Client’s must not use the email hosting for inappropriate content and other undesired emails which can result in spamming or infecting the server. Under such circumstances, immediate action will be taken and the required files and data will be deleted without any prior notice.
7. Limitation of Liability
- Disclaimer: The Company is not liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the delivered project or services.
- Indemnification: Clients agree to indemnify and hold the Company harmless from any claims or liabilities related to project content.
8. Termination and Cancellation
- Termination: Either party may terminate projects if the other breaches the terms, subject to notice and resolution attempts.
- Cancellation Fees: In case of project cancellation, Clients may be responsible for fees related to work completed until cancellation.
9. Governing Law and Dispute Resolution
- Jurisdiction: This Agreement is governed by the laws of India. Disputes shall be resolved through negotiation, subject to the jurisdiction of the courts in India.
10. Modifications to Terms
- Updates: The Company reserves the right to update or modify these terms at any time. The most current version of the Terms will be posted on the Company's website.
